JSA acts on SNVK Hospitality and Management - Travel Food Services merger

JSA Advocates and Solicitors advised on the merger of SNVK Hospitality and Management Private Limited with Travel Food Services Limited.

The merger happened pursuant to an order of the National Company Law Tribunal, Mumbai Bench.

JSA advised Kapur Family Trust, the promoter entity of these companies and SNVK Hospitality and Management on this merger.

The transaction team consisted of Iqbal Khan (Lead Partner), Tanavi Mohanty (Partner), Megha Diddi (Senior Associate), Subham Biswal (Associate) and Ishaan Kulshrestha (Associate)

Prior to the merger, JSA assisted in: (i) divestment of the other investments of SNVK in four entities (both in India and outside India) to other group entities; and (ii) drafting, negotiating and finalising implementation agreement executed by Kapur Family Trust and SNVK with the existing non-resident joint venture partner in TFS for implementing the merger.

The NCLT order passed on July 1 this year noted that the merger was being done keeping in mind Travel Food Service Limited's expansion plans and since both the companies belong to the same promoter group.

Travel Food Services (TFS) is a leading travel and retail food and beverage (F&B) operator in India. It focuses retail solutions at various travel hubs, such as airports, railway stations, and highways. TFS operates and manages a diverse portfolio of restaurants, cafes, lounges, and quick-service outlets catering to travelers.
