
DMD Advocates has advised NDR Auto Components Limited in connection with its joint venture with Hayashi Telempu Corporation, Japan to bring a range of innovative and disruptive offerings for vehicles from Hayashi to the Indian market.
The transaction team was led by Pallavi Puri (Partner), Aishwarya Gupta (Senior Associate), and Srishti Pandey (Associate), with strategic inputs from Rashi Dhir (Senior Partner & Head of Corporate).
NDR and Hayashi will hold 50:50 shares in the joint venture. The JV company is proposed to be engaged in the manufacturing of auto components such as ambient light, carpet, dash inner, rear shade and toner cover.
Both the companies will be investing ₹33.3 crore (approximately USD 4 million) each. This collaboration aims to introduce advanced automotive interior solutions to the Indian market, focusing on technologies such as noise, vibration, and harshness (NVH) control and ambient lighting systems.
Hayashi Telempu, with 2024 revenues of USD 2.1 billion, brings extensive expertise in cabin comfort and product innovation. NDR Auto leverages its established presence in the Indian auto component sector. The companies plan to eventually localize production of these offerings.
