CAM acts on integration of Credit Suisse service entities with UBS Business Solutions

Cyril Amarchand Mangaldas advised the UBS Group on the integration of the Credit Suisse group’s service entities in India with UBS Business Solutions in India by way of a composite scheme of arrangement sanctioned by the National Company Law Tribunal, Mumbai.

The Scheme involved (a) the merger of Credit Suisse Services (India) Private Limited and Credit Suisse Business Analytics (India) Private Limited into UBS Business Solutions (India) Private Limited (UBS BuSo India); and (b) the in-bound cross-border demerger of the branch office in Pune, India of Credit Suisse Services AG (Swiss entity) into UBS BuSo India, and brings together a 24,000-strong team under one unified entity.

Cyril Shroff, Managing Partner and Ramgovind Kuruppath, Partner, provided strategic inputs throughout the transaction.

The transaction was led by Archit Bhatnagar, Partner; with assistance from Nayana Dasgupta, Principal Associate; and Pooja Jasani, Senior Associate.

UBS has completed the integration of Credit Suisse’s service entities in India—namely Credit Suisse Services (India) Pvt Ltd, Credit Suisse Business Analytics (India) Pvt Ltd, and the Pune branch of Credit Suisse Services AG—into UBS Business Solutions (India) Pvt Ltd, effective April 1, 2025.

The merger, consolidates nearly 24,000 employees across Mumbai and Pune under one UBS platform. This move positions India as one of UBS’s largest global hubs, supporting critical functions such as technology, operations, legal, compliance, and finance. Existing vendor contracts have been transferred to the merged entity, ensuring continuity of services and reinforcing UBS’s operational capabilities post its acquisition of Credit Suisse.

Last year, CAM had acted on the UBS AG - Credit Suisse AG merger as well.
