Pioneer Legal acts on acquisition of Puretech Digital by Genesis Advertising

The CEO of Puretech Digital has been requested to continue leading the company post-acquisition.

Genesis Advertising Private Limited has acquired Puretech Digital (Puretech Internet Private Limited) in a cash and share swap transaction.

Pioneer Legal advised and assisted Puretech Legal in structuring of the transaction, preparing, negotiating and executing the transaction documents.

The transaction team consisted of Pritha Jha (Partner), Jinal Shah (Senior Associate), Vijay Chawla (Associate) and Riya Punamiya (Associate).

The deal combines Genesis’s expertise in brand strategy and traditional advertising with Puretech’s strengths in digital marketing, growth strategies, and influencer campaigns.

Ujjal Sinha, Managing Director of Genesis, noted that while the agency had previously struggled with digital integration, the merger enables them to offer seamless, full-spectrum marketing solutions. The Genesis Group now aims to deliver integrated campaigns across traditional and digital platforms, strengthening its position in the evolving advertising landscape.

Puretech Digital is a full-service digital agency, based in Mumbai, India. The company has over a decade’s experience helping organizations and brands more effectively use the digital medium to achieve their business goals – be it acquiring customers, adding new revenue channels or delivering a more immersive experience of the brand.

While the acquisition was a 100% acquisition, the deal was viewed as a partnership, with the CEO of Puretech being requested to continue leading the Company post-acquisition by the Acquirer.
