KNM & Partners advises Saya Hi-Tech on ₹175 crore NCD issuance

KNM & Partners has advised Saya Hi-Tech Private Limited, a Saya Group company, on the issuance of listed, secured, redeemable, non-convertible debentures aggregating ₹175 crore on a private placement basis.

The transaction involved the drafting, negotiation and execution of the Debenture Trust Deed and related financing and security documents, as well as advising the Issuer on regulatory compliance under the Companies Act, 2013 and the SEBI (Issue and Listing of Non-Convertible Securities) Regulations, 2021 and on listing of NCDs on the Bombay Stock Exchange.

The Firm advised Saya Hi-Tech on all aspects of the transaction, including structuring the transaction, reviewing, negotiating and finalising the transaction documents and coordinating with various intermediaries, for smooth execution, compliance and completion of the issuance and listing process.

The transaction team was led by Tanuj Hazari (Associate Partner) and Sidhant Ajmera (Associate Partner).
